Ummah Unite Terms of Service
This Terms of Service Agreement ("Agreement") is a legally binding contract between you ("User," "Attendee," "Organizer," or "Vendor") and Ummah Unite LLC ("Ummah Unite," "Platform," "we," "our," or "us"). This Agreement governs your access to and use of the website, mobile applications, marketplace software, ticketing infrastructure, and related management services provided by Ummah Unite.
BY ACCESSING THE SITE, CREATING AN ACCOUNT, PURCHASING A TICKET, REGISTERING FOR AN EVENT, OR OPERATING A VENDOR STOREFRONT ON THE PLATFORM, YOU EXPLICITLY AGREE TO BE BOUND BY ALL TERMS, CONDITIONS, AND LIABILITY WAIVERS CONTAINED HEREIN. IF YOU DO NOT AGREE, YOU ARE STRICTLY PROHIBITED FROM USING THE SERVICE.
Section 1: Nature of the Platform and User Roles
Ummah Unite is an open-access multi-sided event infrastructure and retail marketplace software platform. We do not own, host, produce, or fulfill the events or products listed on the platform. The following roles apply to our ecosystem:
- General Users: Individuals who access the platform, browse events, or create a registered account. Even if a User has not yet purchased a ticket or hosted an event, they are legally bound by all community standards, data policies, and liability waivers upon accessing the site.
- Attendees: Users who utilize the platform to purchase tickets, reserve sessions, or buy products from vendors.
- Independent Organizers: Users who create and manage events. Organizers are independent entities entirely responsible for the planning, safety, crowd control, local legal compliance, tracking, and execution of their physical events.
- Independent Vendors: Users operating digital storefronts within an event. Vendors are independent merchants entirely responsible for product quality, stock tracking, shipment, or on-site delivery of physical and digital goods sold.
Section 2: Financial Terms, Payouts, and Non-Refundable Execution Fees
- The Platform Service Execution Fee: Ummah Unite charges a platform fee of $1.00 plus 2.5% on every ticket transaction and every vendor product transaction processed through the platform.
- Irrevocable & Fully Earned Fee: The Platform Service Execution Fee is charged in exchange for the immediate provision of digital infrastructure (e.g., executing checkout logic, generating secure QR codes, updating map allocations, and reserving database state). The moment a transaction is successfully authorized, Ummah Unite has completed 100% of its software delivery obligation. Therefore, the Ummah Unite platform fee is strictly and permanently non-refundable under all circumstances, including but not limited to event cancellation, vendor non-fulfillment, attendee change-of-mind, or chargeback disputes.
- Stripe Connect Integration: All payment splits, escrow processing, and payouts are handled via Stripe Connect. By acting as an Organizer or Vendor, you agree to the Stripe Connected Account Agreement and authorize Ummah Unite to manage transaction routing on your behalf.
- Right of Offset, Recoupment, and Clawback: If an Organizer or
Vendor engages in fraudulent activity, cancels an event, fails to deliver products,
or triggers a wave of consumer chargebacks, any financial penalties, chargeback
fees, or clawback demands levied by payment networks against Ummah Unite will be
directly passed down. Ummah Unite reserves the absolute right to:
- Instantly freeze any pending payouts in the User’s Stripe Connect balance.
- Direct Stripe to debit the User's connected external bank account to recover the full loss.
- Pursue the User through corporate collections agencies or legal proceedings to recover all chargeback liabilities, platform fees, and associated legal costs.
Section 3: Automated Platform Logistics & Purchase Rules
By initiating a transaction on the platform, Users agree to the following automated database constraints:
- Waitlist Expiry Cascade: Waitlist Expiry Cascade: Waitlist claim codes strictly expire exactly 10 minutes after issuance. Failure to execute a successful checkout within this 10-minute window results in the irrevocable forfeiture of the ticket opportunity.
- Interactive Map Seating Holds: Interactive Map Seating Holds: Temporary cryptographic database holds on specific rectangular zones, booths, tables, or seats time out if checkout is not completed within 15 minutes.
- Interactive Map Seating Holds: Attendee-initiated cancellations are managed exclusively by an automated, chronological decay system based on hours remaining before the event start time. Any refund issued modifies only the organizer's or vendor's payout segment. The platform processing fee remains permanently retained by Ummah Unite.
Section 4: Ironclad Disclaimers and Limitations of Liability
By initiating a transaction on the platform, Users agree to the following automated database constraints:
- Disclaimer of Warranties: Disclaimer of Warranties: UMMAH UNITE PROVIDES ITS PLATFORM ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPLICITLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE LEGITIMACY, INTENT, SAFETY, OR LAWFULNESS OF ANY THIRD-PARTY EVENT LISTING OR VENDOR PRODUCT.
- Firewall Against Scams and Fraud: Ummah Unite does not verify the operational capacity or ethical execution of third-party organizers. If an Organizer sets up a fraudulent listing, steals ticket revenues, fails to provide an event experience, or refuses to honor a cancellation, THE ATTENDEE EXPLICITLY AGREES THAT ANY AND ALL FINANCIAL RECOURSE, DISPUTES, OR LEGAL LAWSUITS MUST BE DIRECTED SOLELY AGAINST THE ORGANIZER. UMMAH UNITE IS COMPLETELY ABSOLVED OF LIABILITY FOR ORGANIZER INSOLVENCY OR FRAUD.
- Physical Event Safety and Injury Waiver: Attendees explicitly assume all risks associated with physically attending any event powered by Ummah Unite. Ummah Unite, its founders, and affiliates are completely absolved of any liability regarding physical injury, illness, medical emergencies, psychological distress, property damage, theft, overcapacity venue shutdowns, or unexpected inconveniences occurring at a physical venue.
- Vendor Fulfillment and Product Liability Shield: Ummah Unite does not handle, inspect, store, or ship physical vendor goods. We are entirely shielded from liability regarding missing product deliveries, defective merchandise, intellectual property infringement by a merchant, or health crises (including but not limited to food poisoning or foodborne illness stemming from halal food vendors). The contract of commercial sale exists strictly between the Attendee and the Vendor.
SSection 5: Indemnification
You agree to indemnify, defend, and hold harmless Ummah Unite LLC, its officers, directors, founders, and employees from any third-party claims, lawsuits, regulatory fines, losses, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of any section of this Agreement.
- our fraudulent activity, misrepresentation, or scamming of other users on the platform.
- Your execution, operations, or failure to execute an event safely (for Organizers).
- Your failure to ship, fulfill, or provide safe consumer goods (for Vendors).
